Tella Affiliate Program Terms of Service

Effective Date: 1 January 2025

Welcome to the Tella Affiliate Program (the "Program"). By participating in the Program, you agree to the following Terms of Service (the “Terms”). Please read them carefully before applying or participating.

1. Enrollment in the Program

To join the Program, you must:

  1. Have a registered account with Tella.

  2. Apply for the Program on the Tella website, at tella.tv/affiliate-program

  3. If you are approved, complete your affiliate account with our affiliate program provider, Rewardful

Approval is at our sole discretion and may be revoked at any time for any reason, without prior notice.

2. Affiliate Responsibilities

As an affiliate, you agree to:

  1. Promotion

Promote Tella in a legal, ethical, and professional manner.

  1. Use of Affiliate Links

Only use the affiliate links provided through Rewardful to track referrals. You are responsible for ensuring your links are integrated properly.

  1. Compliance with Laws

Refrain from any misleading, dishonest, or unethical marketing practices. Comply with all applicable local, state/provincial, national, and international laws, regulations, and guidelines, including those issued by the U.S. Federal Trade Commission (FTC) and similar consumer protection authorities.

  1. Prohibited Marketing Methods

Avoid spamming, sending unsolicited emails, or using unauthorized channels to promote Tella. This includes but is not limited to advertising on search terms containing or directly related to “Tella”, advertising on search terms containing names of Tella competitors, describing competitors in a derogatory manner, unsolicited text messages, and other disruptive or fraudulent tactics.

3. Commissions and Payments

  1. Commission Structure

Commissions are based on referrals tracked through your unique affiliate link via Rewardful. The commission rate or structure may be updated from time to time at Tella’s discretion.

  1. Payment Schedule

Payments are made on a monthly basis, provided you meet the minimum payout threshold of USD $50. Any amounts below the threshold will roll over to the next payment period.

  1. Fraudulent or Invalid Referrals

Any fraudulent, artificial, or invalid referrals (including self-referrals) will result in forfeiture of associated commissions. Tella reserves the right to review and determine, at its sole discretion, whether a referral is fraudulent or invalid.

  1. Tax Responsibilities

You are solely responsible for any tax obligations arising from your participation in the Program, including any reporting or withholding requirements.

4. Restrictions

Affiliates may not:

  1. Bid on Brand Keywords

Use paid advertising (e.g., Google Ads) that bids on Tella brand keywords or any variation thereof.

  1. Impersonation or Misdirection

Create websites, social media pages, or any content that mimics Tella or misleads customers into believing it is an official Tella channel.

  1. Illegal or Prohibited Content

Promote Tella in a manner that violates any applicable laws or regulations, or that includes defamatory, obscene, or otherwise unlawful content.

5. Independent Contractor Relationship

Nothing in these Terms creates any partnership, joint venture, franchise, sales representative, or employment relationship between you and Tella. You are acting solely as an independent contractor. You do not have authority to make or accept any offers or representations on our behalf.

6. Termination

Tella reserves the right to terminate your participation in the Program at any time, for any reason, including but not limited to:

  1. Violation of these Terms.

  2. Fraudulent activities or misuse of the Program.

  3. Any conduct deemed detrimental to Tella’s interests or reputation.

Upon termination, any unpaid commissions may be forfeited at our discretion. If you wish to terminate your participation, you may do so at any time by contacting us at affiliates@tella.com.

7. Modification of Terms

Tella reserves the right to modify these Terms at any time without notice.

8. Limitation of Liability

To the fullest extent permitted by law, Tella is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages (including but not limited to damages for loss of business, profits, or data) arising out of or related to your participation in the Program. Your participation is at your own risk.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms will be resolved exclusively in the courts of Delaware, USA and you consent to the personal jurisdiction of those courts.
